Welcome to Crmbuz. Crmbuz (available at www.crmbuz.com, the "Website") is a cloud-based CRM and business management platform owned, developed and operated by Fovty Solutions (www.fovtysolutions.com), a company based in India. Crmbuz is a product of Fovty Solutions.

These Terms of Use (the "Terms") form a legally binding agreement between you and Fovty Solutions and govern your access to and use of the Website, the Crmbuz web application, mobile applications, APIs, and all related modules, features, tools and support (together, the "Service").

Please read these Terms carefully. By creating an account, clicking "I agree", subscribing to a plan, or otherwise accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

1. Definitions

  • "Crmbuz", "we", "us" or "our" means Fovty Solutions, the owner and operator of the Service.
  • "You", "your" or "Customer" means the individual or legal entity that registers for or uses the Service.
  • "User" means any person you authorise to access the Service under your account, including employees, contractors and clients you invite through the Client Portal.
  • "Modules" means the functional areas of the Service, including but not limited to CRM and Sales, Project Management, People and HR Management, Recruitment, Payroll, Invoicing, Reports, Administration and the Client Portal.
  • "Customer Data" means all data, files, contacts, records and content that you or your Users upload to or generate within the Service.
  • "Subscription" means the paid or trial plan you select that determines the Modules, User limits, storage and support available to you.

2. Eligibility and account registration

The Service is intended for businesses and professionals. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent. If you register on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.

You agree to provide accurate, current and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including activity by your Users. Notify us immediately at contact@crmbuz.com if you suspect any unauthorised use of your account.

3. Subscriptions, fees and payment

  • Plans. Access to the Service is provided on a Subscription basis. The Modules, number of Users, storage limits and support level available to you depend on the plan you choose, as described on our pricing page or in your invoice.
  • Fees. You agree to pay all fees for your Subscription in advance, in the currency and at the intervals shown at the time of purchase. All fees are final, non-cancellable and non-refundable, whether or not you actively use the Service, as described in our Refund Policy. We offer a free plan and a free trial so you can evaluate the Service before paying.
  • Renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date from your account settings or by contacting us.
  • Taxes. Fees exclude applicable taxes such as GST, VAT or withholding taxes. You are responsible for paying all such taxes unless you provide us with a valid exemption certificate.
  • Late payment. If payment is not received when due, we may suspend or restrict access to the Service until the outstanding amount is paid.
  • Price changes. We may change our pricing from time to time. Changes take effect at the start of your next billing period and we will give you reasonable advance notice.

4. Free trials

We may offer a free trial of the Service. At the end of the trial period your access will be restricted unless you purchase a Subscription. Any Customer Data entered during the trial may be permanently deleted if you do not subscribe within 30 days after the trial ends, unless you export it before then. Trials are provided "as is" and without any warranty or support commitment.

5. Licence and permitted use

Subject to your compliance with these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your Subscription term.

You may not, and may not permit any third party to:

  • copy, modify, translate, reverse engineer, decompile or create derivative works of the Service or its source code;
  • resell, sublicense, rent, lease, time-share or otherwise make the Service available to any third party except your authorised Users;
  • share User credentials or allow more Users than your Subscription permits;
  • use the Service to build a competing product or copy its features, interface or documentation;
  • remove or alter any proprietary notices, branding or trademarks of Crmbuz or Fovty Solutions;
  • access the Service through automated means such as bots or scrapers, other than through APIs we officially provide.

6. Acceptable use

You agree not to use the Service in any way that:

  • violates any applicable law, regulation or third-party right, including data protection, employment, tax and anti-spam laws;
  • uploads or transmits malware, viruses or any code designed to disrupt or damage the Service or any system;
  • attempts to gain unauthorised access to the Service, other accounts, or the networks and systems connected to it;
  • sends unsolicited bulk communications, spam or phishing messages through the Service;
  • stores or processes content that is unlawful, defamatory, obscene, harassing or infringing;
  • overloads or impairs the Service, our servers or the experience of other customers.

We may investigate any suspected violation and remove content or suspend accounts that breach this section, with or without notice.

7. Customer Data and privacy

  • Ownership. You retain all rights, title and interest in your Customer Data. We do not claim ownership of it.
  • Our use. You grant us a limited licence to host, process, back up, transmit and display Customer Data solely to provide, secure, support and improve the Service, and as otherwise permitted by our Privacy Policy.
  • Your responsibility. You are solely responsible for the accuracy, legality and appropriateness of Customer Data, and for obtaining all consents required to collect and process the personal data of your employees, candidates, clients and contacts within the Service.
  • Security. We maintain reasonable technical and organisational measures designed to protect Customer Data against unauthorised access, loss or disclosure. However, no system is completely secure and you are responsible for configuring User roles, permissions and access controls appropriately.
  • Payroll, invoicing and compliance data. The Payroll, Invoicing and Reports Modules are tools to help you manage your business. They do not constitute legal, accounting, tax or financial advice. You remain responsible for verifying calculations and for compliance with all statutory obligations applicable to your business.
  • Export and deletion. You may export your Customer Data at any time during your Subscription. After termination, we may delete Customer Data after a reasonable retention period unless we are required by law to retain it.

8. Intellectual property

The Service, including its software, design, user interface, Modules, documentation, logos, trademarks and all related intellectual property, is and remains the exclusive property of Fovty Solutions and its licensors. "Crmbuz" and the Crmbuz logo are trademarks of Fovty Solutions. Nothing in these Terms transfers any ownership rights to you.

If you send us feedback, suggestions or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them without any obligation to you.

9. Third-party services and links

The Service may integrate with or link to third-party products, such as payment gateways, email providers, calendars, storage services or messaging platforms. Your use of any third-party service is governed by that provider's own terms and privacy policy. We do not control, endorse or accept responsibility for third-party services, their availability, or the content and data they process. If a third party stops providing an integration, we may discontinue the related feature without liability to you.

10. Availability, support and changes to the Service

We work hard to keep the Service available and reliable. However, the Service may occasionally be unavailable due to scheduled maintenance, updates, emergencies or factors outside our control such as internet or hosting failures. Where possible we will give advance notice of planned maintenance.

Support is provided according to your Subscription plan through our help resources and at contact@crmbuz.com. We may add, modify or remove features, Modules or functionality at any time as we continue to develop the Service. If a change materially reduces the core functionality of your paid plan, you may cancel your Subscription before your next renewal date.

11. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF VIRUSES, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR BE COMPATIBLE WITH ALL BROWSERS, DEVICES OR THIRD-PARTY SYSTEMS.

You acknowledge that complex software is never entirely free of bugs or security vulnerabilities and that we do not provide legal, accounting, tax, payroll or financial advice through the Service.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOVTY SOLUTIONS, ITS DIRECTORS, EMPLOYEES, AFFILIATES AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnity

You agree to indemnify, defend and hold harmless Fovty Solutions and its affiliates, officers, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.

14. Suspension and termination

You may cancel your Subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account, with or without notice, if:

  • you breach these Terms or our acceptable use requirements;
  • your payment is overdue or a payment is charged back or disputed;
  • your account is used for fraud, abuse, spam, hacking or other illegal activity;
  • we are required to do so by law or by a court or regulatory order;
  • your account poses a security risk to the Service or other customers.

On termination, your right to use the Service ends immediately. Sections relating to fees owed, intellectual property, disclaimers, limitation of liability, indemnity and governing law survive termination.

15. Refunds

Crmbuz is a digital product offered with a free plan and a free trial so you can evaluate it before paying. All fees paid are final and non-refundable, except in the case of a verified billing error on our side, as described in our Refund Policy.

16. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The Service is operated from India, and we make no representation that it is appropriate or available for use in other locations. If you access the Service from outside India, you are responsible for compliance with all applicable local laws.

In the event of any dispute, the parties shall first attempt to resolve it amicably through good-faith negotiation within 30 days of written notice. If the dispute is not resolved within that period, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by Fovty Solutions. The seat of arbitration shall be in India and proceedings shall be conducted in English. Subject to the foregoing, the courts of competent jurisdiction in India shall have exclusive jurisdiction.

Any claim relating to the Service must be brought within one (1) year after the cause of action arises, failing which it is permanently barred.

17. General

  • Entire agreement. These Terms, together with our Privacy Policy, Refund Policy and any order form or invoice, constitute the entire agreement between you and Fovty Solutions regarding the Service.
  • Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a merger, acquisition or sale of assets.
  • Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including natural disasters, internet or power failures, strikes, government actions or hosting provider outages.
  • Electronic communication. You consent to receive notices and communications from us electronically at the email address on your account, and agree that they satisfy any legal requirement for written communication.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will post the revised Terms on the Website, update the "Last updated" date above and, where appropriate, notify you by email or within the Service. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service and may cancel your Subscription.
